OVERVIEW

Welcome to the merchant PetNestCo! The terms "we", "us" and "our", in their various forms, refer to the merchant PetNestCo. PetNestCo operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). PetNestCo operates on the Shopify platform, which enables us to provide the Services to you.

The terms below, together with the policies referred to herein (these "Terms of Use" or "Terms"), describe your rights and obligations when you use the Services.

Please read these Terms of Use carefully, as they contain important information about your legal rights and cover matters such as the warranty disclaimer and limitations of liability.

All product descriptions are subject to change at any time without prior notice, at our sole discretion. We reserve the right to discontinue any product on a case-by-case basis at any time, and we may limit the quantity of any product we offer to any person, geographic region or jurisdiction.

SECTION 3 – ORDERS

When you place an order, you are making an offer to purchase. PetNestCo reserves the right to accept or reject your order for any reason, at its sole discretion. Your order is not accepted until PetNestCo confirms its acceptance. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, as PetNestCo may not be able to accept cancellation requests after an order has been accepted. If we do not accept, modify or cancel an order, we will endeavour to notify you by contacting the email address, billing address and/or telephone number provided with the order.

You may return or exchange your purchase only in accordance with our Return Policy.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts and promotions are subject to change without prior notice. The price of a product or service is the price in effect at the time the order is placed, as stated in the order confirmation email. Unless expressly stated otherwise, published prices do not include taxes, shipping, handling, customs or import charges.

Prices stated in our online store may differ from prices offered in a physical store or online store, or in other stores operated by third parties. From time to time we may offer promotions through the Services that may affect pricing and that are subject to terms separate from these Terms. If there is a conflict between the terms of a promotion and these Terms, the terms of the promotion shall apply.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made in our stores. You agree to promptly update your account and other information, including your email address, credit card number and expiry date, so that we can complete your transactions and contact you as needed.

You represent and warrant that (i) the credit card information you provide is truthful, correct and complete, (ii) you are duly authorised to use such credit cards for purchases, (iii) your credit card company will pay the charges you incur, and (iv) you will pay the charges you incur at the prices stated, including shipping and handling charges and any applicable taxes.

SECTION 5 – DELIVERY

We are not liable for delivery delays. All delivery times are estimates only and cannot be guaranteed. We are not liable for delays caused by the carrier, customs processing, or events beyond our control. Once we have transferred the products to the shipping service, title and risk of loss pass to you.

SECTION 6 – INTELLECTUAL PROPERTY

Our Services, including but not limited to all trademarks, brands, texts, displays, images, graphics, product reviews, video and audio, and their design, selection and arrangement, are the property of the merchant PetNestCo, its partners or licensors, and are protected by United States and other countries' patent, copyright and other intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material from the Services without our prior written consent. Except as expressly stated herein, nothing in these Terms shall be construed as granting you a licence or other rights under any patent, trademark, copyright or other intellectual property right of the merchant PetNestCo, Shopify or any third party. Unauthorised use of the Services may violate federal and state intellectual property laws. PetNestCo reserves all rights not expressly granted herein.

The names, logos, product and service names, designs and slogans of the merchant PetNestCo are trademarks of the merchant PetNestCo or its partners or licensors. Such trademarks may not be used without the written permission of the merchant PetNestCo. The Shopify name and logo and Shopify's product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans appearing in the Services are trademarks of their respective owners.

SECTION 7 – ADDITIONAL TOOLS

You may be provided with access to third-party customer tools as part of the Services, which we neither monitor nor control and over which we have no influence.

You acknowledge and agree that we provide access to such tools "as is" and "as available", without any warranties, representations or conditions of any kind, and without any endorsement. We are in no way liable for anything arising from or relating to your use of optional third-party tools.

Any use of optional tools offered through the site is entirely at your own risk and discretion, and you should ensure that you are familiar with, and agree to, the terms on which such third-party providers offer the tools.

We may also offer new features through the Services in the future (including the release of new tools and resources). Such new features will also be considered part of the Services and are subject to these Terms of Use.

The Services may contain materials and hyperlinks to websites provided or maintained by third parties (including any embedded third-party functionality). We are not responsible for reviewing or evaluating the content or accuracy of any third-party materials or websites you choose to access. We are not liable for any harm or damage relating to the use of third-party websites, purchases, or the use of products, services, resources or content on a third-party site. Complaints, claims, concerns or questions regarding third-party products and services should be directed to the third party.

SECTION 9 – YOUR RELATIONSHIP WITH SHOPIFY

PetNestCo operates on the Shopify platform, which enables us to provide the Services to you. However, all sales and purchases made in our Store are made directly through the PetNestCo website. By using the Services, you acknowledge and agree that Shopify is not responsible for any part of the sale between you and the merchant PetNestCo, including any injury, damage or loss arising from the products and services purchased. You hereby release Shopify and its affiliates from all claims, damages and liabilities arising out of or relating to your purchase and transaction with the merchant PetNestCo.

SECTION 10 – PRIVACY POLICY

All personal data we collect through the Services is subject to our Privacy Policy, which can be read here, and certain personal data may be subject to Shopify's Privacy Policy, which can be read here. By using the Services, you confirm that you have read these privacy policies.

Because Shopify hosts the Services, Shopify collects and processes personal data about your use of the Services in order to provide and improve the Services for you. Information you submit to the Services is transmitted to and shared with Shopify and third parties, who may be located outside your country of residence, so that they can provide services to you. If you send, upload, publish, email or otherwise transmit ideas, feedback, reviews, suggestions, designs or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, modify, reproduce, distribute and display such Feedback in any medium for any purpose, including commercial use. You also represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives you have received in connection with the Feedback; and (iii) your Feedback complies with these Terms. We have no, and will have no, obligation to (1) keep your Feedback confidential; (2) pay compensation for your Feedback; or (3) respond to your Feedback.

We may monitor, edit or remove Feedback that we, in our sole discretion, consider unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene or otherwise objectionable, or that infringes any party's intellectual property rights or these Terms of Use, but we are under no obligation to do so.

You agree that your Feedback will not infringe any third-party right, including copyright, trademark, privacy, publicity or other personal or proprietary right. You further agree that your Feedback will not contain defamatory or otherwise unlawful, offensive or obscene content, and will not contain computer viruses or other malware that could in any way affect the operation of the Services or any related websites. You may not use a false email address, impersonate anyone else, or otherwise mislead us or third parties as to the origin of any Feedback. You are solely responsible for all Feedback you make and for its accuracy. We assume no responsibility for Feedback submitted by you or any third party.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information in the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice (including after you have submitted your order).

You may use the Services only for lawful purposes. You may not use the Services, directly or indirectly: (a) for any unlawful or harmful purpose; (b) to violate any international, federal, provincial or state regulations, rules, laws or local ordinances; (c) to infringe or violate our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate or injure our employees or any other persons; (e) to submit false or misleading information; (f) to send, knowingly receive, upload, download, use or re-use any material that does not comply with these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including spam, chain letters or similar solicitations; (h) to impersonate or attempt to impersonate another person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, in our judgment, may harm the merchant PetNestCo, Shopify or users of the Services, or expose them to liability.

In addition, you agree that you will not: (a) upload or transmit viruses or any other type of malicious code that is used or may be used in any way that affects the functionality or use of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or exploit any part of the Services; (c) collect or track the personal data of others; (d) send spam, phish, pharm or pretext on the Services; (e) use robots, spiders, scraping, data collection and extraction tools, automated devices or processes, AI tools (such as agentic AI), or automated or manual means to access the Services; or (f) interfere with, bypass or circumvent any security or authorisation features, robot exclusion headers, or other measures we use to restrict use of the Services. We reserve the right to suspend, disable or terminate your account at any time without prior notice if we determine that you have breached any part of these Terms.

SECTION 14 – AGENTS

14.1 This section (the "Agent Terms") applies if you use, permit, deploy or cause the deployment of an Agent to access or interact with the Services. "Agent" means any software or service that performs autonomous or semi-autonomous actions on behalf of, or at the direction of, any person or entity, and which may be executed on a person's behalf or using a person's device without direct supervision.

14.2 No Agent may access or interact with the Services unless it identifies itself at all times and operates strictly in accordance with the requirements of Section 14.4 below. In addition, no Agent may access or interact with Shopify's consumer services if we have requested that the Agent refrain from accessing, using or interacting with the services.

14.3 We may restrict, including by technical means, whether any Agent may access, use or interact with the Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, indicate that the request comes from an Agent and state the Agent's name by including the following in the request's user-agent string: "Agent/[agent name]"; (ii) not conceal or obscure the fact that the access, use or interactions come from an Agent, for example by (a) mimicking human behaviour and interaction patterns, or (b) completing or circumventing CAPTCHAs or performing actions intended to distinguish computer use from human use; (iii) answer truthfully any questions or prompts intended to determine whether interactions come from a human or a computer; and (iv) not circumvent or otherwise evade any measures intended to prevent, restrict, modify or monitor whether and how Agents access, use or interact with Shopify's consumer services.

SECTION 15 – TERMINATION

We may terminate this agreement or your access to the Services (or any part thereof) at our sole discretion at any time without prior notice, and you will remain liable for all amounts due up to the date of termination.

The following sections survive any termination: Intellectual Property, Feedback, Termination, Warranty Disclaimer, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other terms that by their nature should survive termination.

Information presented in or through the Services is intended for general informational purposes only. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance on this information is at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such material by you, any other user of the Services, or anyone who may be informed of its contents.

UNLESS EXPRESSLY STATED OTHERWISE BY PETNESTCO, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY EXPRESS OR IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT OR REPRESENT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE EXCLUSION OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 17 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PETNESTCO, OUR AFFILIATES, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THE CORRESPONDING PARTIES OF SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOST INCOME, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED THROUGH THEM, OR FOR ANY OTHER CLAIM RELATING IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING BUT NOT LIMITED TO ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE ARISING FROM THE USE, PUBLICATION, TRANSMISSION OR OTHER MAKING AVAILABLE OF THE CONTENT (OR PRODUCT) OFFERED THROUGH THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 18 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless the merchant PetNestCo, Shopify and our partners, affiliates, officers, directors, employees, agents, contractors, licensors and service providers from and against all losses, damages, liabilities or claims, including reasonable attorneys' fees, paid to a third party arising out of (1) your breach of these Terms of Use or the documents incorporated herein by reference, (2) your violation of any law or the rights of a third party, or (3) your use of the Services.

We will notify you of any indemnification claim, provided that a failure to notify promptly does not release you from your obligations unless you are materially prejudiced. We may control the defence and settlement of such a claim at your expense, including the selection of counsel, but we will not settle any claim that imposes non-monetary obligations on you without your consent (which shall not be unreasonably withheld). You will cooperate in defending indemnification claims, including by providing relevant documents.

SECTION 19 – SEVERABILITY

If any provision of these Terms of Use is found to be unlawful, void or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Use, and such determination shall not affect the validity and enforceability of the remaining provisions.

SECTION 20 – WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

These Terms of Use and any policies or operating rules posted on this site or relating to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service. They supersede any prior or contemporaneous agreements, communications and proposals between you and us, whether oral or written (including, but not limited to, any prior versions of the Terms of Use).

You and PetNestCo accept that venue and personal jurisdiction.

We may terminate this agreement or your access to the Services at our sole discretion at any time, and you will remain liable for all amounts due up to the date of termination.
